The Federal Trade Commission (FTC) and the Department of Justice’s (DOJ) Antitrust Division have jointly released their 48th Annual Hart-Scott-Rodino (HSR) Report for Fiscal Year 2025.
This annual report provides an overview of premerger notification filings under the HSR Act. The HSR Act requires companies to notify the FTC and DOJ of certain mergers, acquisitions, and other transactions before they are completed.
This allows the agencies to review the competitive implications of proposed transactions and challenge those that may substantially lessen competition, underscoring their commitment to antitrust enforcement.
