Vadim Komissarov, the former Chief Executive Officer of Trident Acquisitions Corp. (TDAC), has been sentenced to three years in prison for securities fraud. The sentencing, handed down by U.S. District Judge Alvin K. Hellerstein, follows Komissarov's guilty plea on February 3, 2026, for defrauding investors in TDAC and its successor company, Lottery.com Inc., through false revenue reporting.
U.S. Attorney Jay Clayton for the Southern District of New York emphasized the commitment to accountability, stating, “Vadim Komissarov, the former CEO of Trident Acquisitions Corp., is going to prison for defrauding his shareholders. This Office will continue to work with our law enforcement partners to hold executives of public companies accountable when they commit fraud and lie about it.”
Komissarov's scheme, active from November 2020 to May 2022, involved creating a false appearance of revenue-generating activity for AutoLotto, later Lottery.com, ahead of a merger vote. This included a fraudulent $9 million "roundtrip" transaction he orchestrated using the alias "Vlad." He also attempted to obstruct the U.S. Securities and Exchange Commission's (SEC) investigation by aligning false narratives with executives and providing misleading sworn testimony.
In addition to the prison term, Komissarov, 54, of New York, New York, received three years of supervised release and was ordered to forfeit $607,028.70, representing proceeds from his sale of Lottery.com stock before the fraud was revealed. The Federal Bureau of Investigation and the SEC were commended for their work on the case.
